1. Overview

These Affiliate Program Terms & Conditions ("Terms") govern your participation as an affiliate ("Affiliate", "you") in the MIXD Affiliate Program ("Program"). By signing up for the Program, you agree to be bound by these Terms.

MIXD is a browser-based mixed media animation tool provided by Hassel und Kolb GbR. Through the Program, you can earn commissions by referring new customers who purchase MIXD Suite.

2. Program Structure & Third Parties

Affiliate Platform. The Program is managed through the Tolt platform (operated by Tolt, Inc., 2093 Philadelphia Pike 2726, Wilmington, DE 19809, USA). Your sign-up, tracking, reporting, and commission payouts are handled via Tolt. By joining the Program, you also agree to Tolt's Affiliate Payment Agent Terms & Conditions. In the event of a conflict between these Terms and Tolt's terms regarding payout processing, Tolt's terms shall apply to the extent of the conflict regarding payout matters.

Payout Agent. You authorise Tolt to receive commission payments from us on your behalf. Payment of commissions by us to Tolt constitutes satisfaction of our payment obligation to you for those commissions. Tolt will then forward the funds to you in accordance with Tolt's terms.

Merchant of Record. All purchases of MIXD Suite are processed by Paddle.com Market Limited ("Paddle") as our Merchant of Record. Paddle handles payment processing, tax collection, and invoicing for customer transactions. Commission calculations are based on the net revenue we receive from Paddle after applicable fees and taxes.

3. Eligibility

To participate in the Program, you must:

Be at least 18 years of age or the age of majority in your jurisdiction.
Provide accurate and complete information during registration, including legal name or entity, address, tax identification (where applicable), and payout account details.
Comply with all applicable KYC/AML and tax requirements as requested by us or Tolt.

We reserve the right to reject any application or suspend any Affiliate account at our discretion.

4. Commissions

Earning Commissions. You earn commissions when a referred customer completes a qualifying one-time purchase of MIXD Suite through your unique affiliate link. The commission rate, structure, and any minimum payout thresholds are specified on the Program page within the Tolt platform and may be updated by us from time to time. Free Contact Sheet Generator usage does not generate commissions.

Tracking & Attribution. Referrals are tracked via cookies and/or other tracking methods provided by the Tolt platform. You are responsible for using your unique affiliate links correctly. We are not responsible for lost referrals due to incorrect link usage, cookie deletion by the end user, or other technical factors outside our control.

Commission Calculation. Commissions are calculated based on the net revenue we receive after deduction of payment processing fees, taxes, and Paddle's fees. Commissions on refunded, charged-back, or fraudulent transactions will be reversed or deducted.

Payment. Commission payouts are processed by Tolt according to the payout schedule and methods available on the Tolt platform. You are responsible for providing and maintaining accurate payout information. We are not liable for delayed or failed payments resulting from incorrect payout details.

Taxes. You are solely responsible for reporting and paying any taxes arising from commissions earned through the Program. We or Tolt may withhold taxes where legally required.

5. Affiliate Obligations

As an Affiliate, you agree to:

Promote MIXD honestly, accurately, and in good faith.
Clearly disclose your affiliate relationship where required by applicable law or platform policies (e.g. FTC disclosure requirements, local advertising regulations).
Comply with all applicable laws, regulations, and advertising platform policies.
Not make false, misleading, or exaggerated claims about MIXD or its features.
Maintain any website, social media account, or channel you use for promotion in good standing and in compliance with applicable terms of service.

6. Prohibited Conduct

The following activities are strictly prohibited and may result in immediate termination and forfeiture of pending commissions:

Self-referrals: Purchasing MIXD Suite through your own affiliate link for personal use or to generate commissions.
Click fraud: Artificially generating clicks, impressions, or conversions.
Cookie stuffing: Placing affiliate cookies without the user's genuine intent to visit MIXD.
Trademark bidding: Running pay-per-click (PPC) advertising campaigns on keywords containing "MIXD", "Mixd", "Uninspired Studio", "Uninspired", or any of our other trademarks or variations thereof, without our express written permission.
Spam: Sending unsolicited emails, messages, or communications to promote MIXD.
Incentivised traffic: Offering cash, rewards, or incentives to users to click your affiliate link or purchase through it, in violation of any advertising platform's policies.
Misleading promotion: Impersonating Uninspired Studio, creating fake reviews, or using deceptive marketing tactics.
Coupon/deal abuse: Creating or distributing unauthorised coupon or discount codes attributed to your affiliate account.
Any activity intended to manipulate tracking, inflate commissions, or harm the integrity of the Program.

7. Intellectual Property

We grant you a limited, non-exclusive, non-transferable, revocable licence to use MIXD's name, logo, and approved marketing materials solely for the purpose of promoting MIXD within the Program. You must follow any brand guidelines we provide.

You may not alter our trademarks, create derivative works, or use our brand in a way that implies endorsement, partnership, or sponsorship beyond the affiliate relationship. All intellectual property rights in MIXD, its software, and branding remain our property.

8. Content & Links

You are solely responsible for the content you create to promote MIXD. We reserve the right to request changes to or removal of any promotional content that we deem inaccurate, misleading, or harmful to our brand.

We may provide you with approved marketing materials, landing pages, or creatives. Use of these materials must be in accordance with any guidelines we provide.

9. Limitation of Liability

To the extent permitted by applicable law, our total liability to you under or in connection with the Program is limited to the total commissions actually paid to you in the six (6) months preceding the event giving rise to the claim.

We are not liable for indirect, incidental, special, or consequential damages, including loss of profits, revenue, or business opportunities arising from your participation in the Program.

Nothing in these Terms excludes or limits our liability for intent, gross negligence, injury to life, body or health, or liability under the German Product Liability Act (Produkthaftungsgesetz). For slight negligence, we are liable only for breaches of essential contractual duties (Kardinalpflichten), limited to the typical, foreseeable damage at the time of entering into the agreement.

10. Indemnification

You agree to indemnify, defend, and hold harmless Uninspired Studio, its partners, and affiliates from any claims, damages, liabilities, or expenses (including reasonable legal fees) arising from your breach of these Terms, your promotional activities, or your violation of any applicable law or third-party rights.

11. Term & Termination

Duration. These Terms are effective from the date you join the Program and remain in effect until terminated by either party.

Termination by You. You may leave the Program at any time by notifying us or deactivating your affiliate account through the Tolt platform.

Termination by Us. We may suspend or terminate your participation in the Program at any time, with or without cause, at our sole discretion. We will make reasonable efforts to notify you, but immediate termination without notice may occur in cases of suspected fraud, prohibited conduct, or material breach.

Effect of Termination. Upon termination, your right to earn commissions ceases immediately. Pending commissions for valid, non-fraudulent referrals made prior to termination will be paid out in accordance with the normal payout schedule, unless commissions are withheld or forfeited due to breach of these Terms. You must immediately cease using our trademarks and marketing materials. Sections 9, 10, and 13 survive termination.

12. Modifications

We may update these Terms at any time. For material changes, we will notify you by email or through the Tolt platform at least 14 days before the changes take effect. Continued participation in the Program after the effective date constitutes your acceptance of the updated Terms. If you do not agree with the changes, you may terminate your participation before the changes take effect.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Germany. Any disputes arising from or in connection with these Terms shall be subject to the jurisdiction of the competent courts in Germany.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that most closely achieves the intended economic purpose.
